Contract between Contractor and S.S. Moore, L.L.C. dba Desert Solutions By E-signing / submitting this acceptance Contractor agrees to act in a responsible manner with Desert Solutions and the customers of Desert Solutions when acting as contractor for said company. Contractor will at times be entrusted to operate as representative of Desert Solutions and must operate in a professional business like manner. Contract: This agreement entered into this date, by the parties Desert Solutions, and contractor: WHEREAS CONTRACTOR desires to contract with Desert Solutions to perform said work and/or services, and WHEREAS the parties desire to set forth their contractual and business arrangement(s) THEREFORE, this agreement constitutes the said contractual and business arrangements, and the parties contract and agree as follows: Privacy: Contractor must keep private all customer data, intelectual property, codes, passwords, private information, and any other material that is sensitive in nature. This Privacy of sensitive information will remain in force indefinately. Contractor must not take copies of private information for his/her own personal use, all sensitive information if required as archive must be kept on file at Desert Solutions main office, for reference. Contractor must treat this with the utmost respect and integrity, sharing with no-one else anything that is not public knowlege of the customer's information, except as required to do the job / task at hand. Copyright: Any Scripts, Codes, Files, or other information that is developed for Desert Solutions and/or the customers of Desert Solutions is the property of Desert Solutions and the copyrights = of such are owned by Desert Solutions as well. No portion of code, or data may be used or sold or used in any way without the express written consent of Desert Solutions and must be used / sold only by Desert Solutions as property of Desert Solutions Policy: Contactor must operate at all times in a manner that promotes trust and gains respect from the customer. Desert Solutions is based on Quality Customer Service, Fair Treatment, and Honest Value. At no time will it be tolerated to Inflate job requirements, Hours spent, or any other type of being dishonest to take more than fair value for job done. Communication is of key importance, and it is required to keep in contact with the project manager or project team at agreed intervals to promote project completion success. If at any time there are reasons for which Contractor will not be able to meet Contractor's project deliverables, or it is foreseen in contractor's honest estimation that Contractor will not be able to meet Contractor's project deliverables, Contractor must communicate that with enough lead time to re-estimate or re-assign the project. Communication with Clients: Contractors may not communicate with client directly regarding billing or pricing structure or anything unless instructed to do so by a representative from Desert Solutions In the event communication has been approved by a representative of Desert Solutions, contractor must identify themselves as being from Desert Solutions and in no way may represent themselves as their own agency or business. Miscellaneous: The logo, name, propaganda and advertising associated with Desert Solutions is exclusively the property of Desert Solutions Unauthorized usage of any stationary or materials or unauthorized representation of the agency of Desert Solutions itself is strictly prohibited. The Contractor cannot use any name similar to or resembling in any way, shape or form the name, advertising methods and appearances, or practices of Desert Solutions Contractor must not take software or hardware from customer's or Desert Solutions sites. - Any consumption of hardware and software is through Desert Solutions and should be documented in the transaction. Contractor must not take data (Pictures, Code, Scripts etc) from customers sites. Any data use is for Business purposes only, related to the customers project. Desert Solutions' Servers, Equipment, Software and that of the customers may not be used for "gaming", or any other activities that can be construed as "personal use". Non-Compete Clause: The clients of Desert Solutions will remain the clients of Desert Solutions. At no time prior to or within five (5) years of termination of this contract may the Contractor do any work for the client in any way, shape or form except through Desert Solutions The Contractor may not contact or draw business or clients or accounts from anybody in any way connected with any of the clients of Desert Solutions. Termination of this Contract: The Contractor must give no less than a seven (7) day notice to a representative of Desert Solutions in writing for termination of this contract. Before the termination is effective, Contractor must return all supplies an/or equipment belonging to or loaned by or borrowed from Desert Solutions the Contractor is also responsible to supply Desert Solutions with all completed work and any unfinished work. Failure to comply with any portion of this termination stipulation of any portion of this contract may result in withholding of final payment. Violation of any part of this contract can result in immediate termination by Desert Solutions without notice. All termination terms other than seven (7) day notice would then be applicable for the Contractor and final check would be held until terms are complied with and until full knowledge of the extent of damages resulting can be gained. Damages will be collected from payment due at the very least. Desert Solutions reserves the right to remove a client from the Contractor without any notice or change clients serviced by the Contractor. Contractor also agrees that clients can be dropped at any time due to termination from the client. The Contractor hereby agrees to abide by all of the terms and stipulations set forth in all pages of this contract and understands each item fully.
